What changed: Items 3.01 and 8.01: AxonPrime Infrastructure Acquisition's management determined it cannot consummate an initial business combination by August 17, 2023, and the board resolved to cease all operations except winding up, to redeem the Class A common stock within ten business days at the trust amount per share including interest less taxes and up to $100,000 of interest for dissolution expenses, and then to liquidate and dissolve subject to Class B holder and board approval. Each unit separates into one Class A share and one-third of a warrant on August 15, 2023.
