What changed: ALSP Orchid Acquisition Corporation I called an EGM in lieu of an annual meeting for February 17, 2023 to extend the initial date by which it must complete a business combination by six months, from February 23, 2023 to August 23, 2023. Under the existing articles the initial period could be extended in up to two separate three-month instances by depositing $0.10 per unit into the trust for each. On December 31, 2022 the redemption price was about $10.29, based on about $177,454,035 on deposit, against a Nasdaq closing price of $10.33 for the Class A shares on February 1, 2023. Why it matters: Seeking a shareholder-approved six-month extension instead of using the charter's own three-month options is how sponsors avoid paying the $0.10 per unit those options require, so holders are being asked to give up roughly twenty cents per share of contractual trust funding. The shares closed at $10.33 against a $10.29 redemption value measured six weeks earlier, so selling and redeeming are close, but the market price includes accrued interest the stale trust figure does not. The trust remains fully intact at about $177.5 million.
