On February 12, 2021, we effected a 1.2-for-1 forward stock split, resulting in our sponsor holding 8,481,000 founder shares and each of our independent directors holding 36,000 founder shares. Prior to the initial investment in the company of $25,000 by our sponsor, the company had no assets, tangible or intangible. The number of founder shares outstanding was determined based on the expectation that the founder shares would represent 20% of the outstanding shares of our common stock after this offering. Up to 1,125,000 of the founder shares will be forfeited depending on the extent to which the underwriters’ over-allotment option is not exercised.
