Francis Davidson, our Chief Executive Officer and Chairman of the Board and the beneficial owner of 5.4% of our Common Stock prior to the First Closing, and Sanjay Banker, a member of the Board. Each of the affiliates of Atreides Management, LP, Mr. Davidson and Mr. Banker participated on the same terms and subject to the same conditions as all other Purchasers, except with respect to certain expense reimbursements for one of the Purchasers.
